1. Agreement to Terms

By accessing or purchasing from the Zuvya Health Inc. website (zuvya.ca, collectively the "Site"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, customers, and others who access or use the Site. If you do not agree with any part of these Terms, you may not access the Site or place an order.

Zuvya Health Inc. ("Zuvya," "we," "us," or "our") reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

2. Products and Health Disclaimers

2.1 Nature of Products

Zuvya sells nutritional supplements intended to support general health and wellness. Our products are not drugs, and they are not intended to diagnose, treat, cure, or prevent any disease or medical condition. All products are formulated in compliance with applicable Health Canada Natural Health Product (NHP) regulations.

2.2 Not Medical Advice

Nothing on the Site constitutes medical advice. The information provided about our products, ingredients, and formulations is for educational and informational purposes only. You should consult a qualified healthcare professional before beginning any new supplement regimen, particularly if you are pregnant, nursing, have a pre-existing medical condition, or are taking prescription medications.

2.3 Individual Results

Results from using Zuvya products may vary. No specific outcomes are guaranteed. Testimonials and reviews reflect individual experiences and are not necessarily representative of what every customer may experience.

3. Orders and Payment

3.1 Order Acceptance

By placing an order on the Site, you represent that you are at least 18 years of age and legally capable of entering into a binding contract. An order confirmation email does not constitute acceptance of your order — we reserve the right to refuse or cancel any order at our discretion, including for reasons such as product unavailability, errors in product or pricing information, or suspected fraudulent activity.

3.2 Pricing

All prices displayed on the Site are in Canadian Dollars (CAD) unless otherwise indicated. If you are located in the United States, prices will be displayed and charged in USD based on prevailing exchange rates at the time of purchase. Zuvya reserves the right to change prices at any time without notice. Price changes will not affect orders that have already been confirmed.

3.3 Payment

We accept major credit cards and other payment methods as displayed at checkout. By submitting an order, you authorize us to charge your selected payment method for the total order amount including applicable taxes and shipping fees. All transactions are processed through secure third-party payment processors. Zuvya does not store your full payment card details.

3.4 Taxes

Applicable Canadian federal and provincial taxes (GST/HST/PST) will be applied to all orders shipped within Canada. Orders shipped to the United States may be subject to applicable sales tax depending on the destination state. Customers are responsible for any import duties, customs fees, or additional charges imposed by their local jurisdiction.

4. Subscription Orders

4.1 How Subscriptions Work

Zuvya offers a monthly subscription option ("Subscribe & Save") that delivers one order of your selected product on a recurring monthly basis at a discounted rate compared to the one-time purchase price. By selecting a subscription, you authorize Zuvya and its subscription processing partner to charge your payment method on a recurring monthly basis until you cancel.

4.2 Billing

Your subscription will be charged on the same date each month following your initial order. If that date does not exist in a given month (e.g., the 31st), you will be billed on the last day of that month. You will receive an email reminder before each renewal charge.

4.3 Cancellation

You may cancel your subscription at any time through your account portal or by contacting us at support@zuvya.ca. Cancellations must be made at least 48 hours before your next scheduled billing date to avoid being charged for the following cycle. Cancellation takes effect at the end of the current billing period — you will continue to receive your product for the period already paid.

4.4 Modifications

You may pause, skip, or modify your subscription (including delivery frequency or quantity) through your account portal. Modifications made less than 48 hours before your next billing date may not take effect until the following cycle.

4.5 Price Changes

Zuvya reserves the right to change subscription pricing. We will notify you by email at least 14 days before any price change takes effect. If you do not cancel before the change takes effect, your continued subscription constitutes acceptance of the new pricing.

5. Shipping and Delivery

5.1 Shipping Regions

We currently ship to addresses within Canada and the United States. We do not ship to P.O. Boxes. Shipping to additional regions may become available in the future.

5.2 Shipping Timeframes

Estimated delivery times are provided at checkout and are not guaranteed. Zuvya is not responsible for delays caused by carriers, customs processing, weather events, or other circumstances outside our control. Risk of loss and title for products pass to you upon delivery to the carrier.

5.3 Shipping Costs

Shipping fees are calculated at checkout based on your delivery address and selected shipping method. Active subscribers on the monthly plan receive free standard shipping on all recurring orders within Canada.

5.4 Lost or Damaged Shipments

If your order is lost in transit or arrives damaged, contact us at support@zuvya.ca within 7 days of the expected delivery date. We will work with the carrier to resolve the issue and, where applicable, arrange a replacement or refund.

6. Returns and Refunds

6.1 30-Day Confidence Guarantee

We stand behind our product. If you are not satisfied with your purchase for any reason, you may request a refund within 30 days of the delivery date. To initiate a return, contact us at support@zuvya.ca with your order number and reason for the request.

6.2 Conditions

To be eligible for a refund:

The request must be made within 30 days of confirmed delivery.
For one-time purchases, the product must be returned (partially used is acceptable).
For subscription orders, the guarantee applies to your first order only.
Products that have been deliberately damaged or are being returned fraudulently will not qualify.

6.3 Refund Processing

Approved refunds will be issued to your original payment method within 5 to 10 business days of our receipt of the returned product or approval of your request. Original shipping charges are non-refundable unless the return is due to our error.

6.4 Exchanges

We do not currently offer product exchanges. If you received the wrong item, contact us immediately and we will ship the correct product at no additional charge.

7. User Accounts

When you create an account on the Site, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. Zuvya is not liable for any loss or damage arising from your failure to maintain account security.

You may not create an account on behalf of another person without their authorization. We reserve the right to terminate accounts, remove content, or cancel orders at our sole discretion.

8. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, product images, formulation information, and design elements — is the property of Zuvya Health Inc. and is protected by applicable Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our express written permission.

The Zuvya name, logo, and product names are trademarks of Zuvya Health Inc. Unauthorized use of our trademarks is strictly prohibited.

9. Prohibited Uses

You agree not to use the Site or its content to:

Violate any applicable law or regulation.
Resell or commercially exploit Zuvya products without our written consent.
Submit false, misleading, or fraudulent information in connection with any order or account.
Interfere with or disrupt the security or integrity of the Site or its servers.
Use automated tools (bots, scrapers, crawlers) to access the Site without our permission.
Engage in any conduct that could damage, disable, or impair the Site or its functionality.

10. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZUVYA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZUVYA HEALTH INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, YOUR PURCHASE OF PRODUCTS, OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through informal negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Ontario, Canada, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect proprietary rights.

If you are a resident of the United States, you may also have rights under applicable state consumer protection laws. Nothing in these Terms limits any rights you may have under applicable mandatory consumer protection legislation.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, and protect your personal information in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zuvya Health Inc. and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any third-party rights.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zuvya Health Inc. regarding your use of the Site and supersede all prior agreements, representations, and understandings.
